The dates and rules that catch people

  • May 1 — annual report deadline, every year, $25. Two missed years → the state can dissolve your LLC.
  • 3-5 business days — typical Sunbiz online processing; mail takes weeks.
  • Registered agent is mandatory — a Florida street address (no P.O. boxes) available during business hours. Serving as your own agent puts your address on the permanent public record.
  • No general Florida business license exists — anyone selling you one is selling paper. City and industry licenses can still apply.
  • EIN is free from the IRS — needed for banking and hiring.
  • Domestic LLCs are currently BOI-exempt (FinCEN 2025 interim rule) — decline any BOI/CTA upsell.
  • Single-member LLCs are disregarded for federal tax — profits flow to Schedule C unless you elect otherwise (e.g., S-Corp via Form 2553).
