The Florida LLC Startup Checklist

Pick a distinguishable name

Search Florida's business registry before you fall in love with a name. It must be distinguishable from every existing Florida entity — 'LLC' at the end isn't enough of a difference.

Decide who your registered agent will be

Every Florida LLC must name one. You can be your own — but your street address becomes a permanent, searchable public record, and you must be available at it during business hours.

File Articles of Organization (Articles of Organization)

The $125 filing with the Division of Corporations that actually creates your LLC. Standard review takes about 10 business days; 24-hour expedite costs $50 more.

Get your EIN — free

Direct from IRS.gov in about 5 minutes. You need it for a bank account and hiring. The IRS never charges for it.

Sign an operating agreement

Florida doesn't file or require one, but your bank will ask for it, and it's key evidence that your LLC is real if your liability shield is ever challenged.

Open a business bank account

Never run business money through personal accounts. Commingling is the #1 way single-member LLC owners lose their liability protection in court.

Register for Florida taxes — if they apply

Selling taxable goods? You need a 6% sales tax license. Hiring employees? Withholding registration. Both free through the Florida Department of Revenue Online.

Check local and industry licenses

Florida has no general state business license — but your city, county, or industry (food, construction, cosmetology…) may require one.

Consider liability insurance

The LLC protects your personal assets from business debts. Insurance protects the business itself. General liability for a small service business often runs $30–$60/month.

Put May 1 on your calendar — every year

Florida's $138.75 annual report keeps your LLC in good standing. Miss two years and the state administratively dissolves it.
